Confidentiality Terms for Online Access to PCI Pal Proprietary Content

By clicking “Accept”, accessing, or viewing any content made available by PCI Pal on this website, you (“Recipient”) agree to be bound by these Confidentiality Terms and by PCI Pal’s website Terms of Use available at https://www.pcipal.com/terms-of-use/ (the “Terms of Use”). If you do not agree, you must not access or use the content.

1. Confidential Information

“Confidential Information” means all content, materials, data, documents, presentations, videos, images, demonstrations, and any other information made available to the Recipient in any forum or format through PCI Pal’s website, portals, or any associated online platform. It also includes all notes, analyses, summaries, or other materials created by the Recipient that contain, reflect, or are derived from such information It does not include information which: (a) becomes publicly available through no breach of these terms; (b) was lawfully known to the Recipient without confidentiality obligations; (c) is independently developed without reference to or use of the Confidential Information; or(d) is lawfully obtained from a third party without breach of any obligation of confidence.

2. Confidentiality Obligations and Restrictions of Use

The Recipient shall: (a) keep all Confidential Information strictly confidential and safeguard it as carefully as it protects its own highly confidential information—never with less than reasonable care; (b) only use the Confidential Information for the purpose for which PCI Pal has made it available and for no other purpose; (c) not disclose, distribute, publish, transmit, share, or otherwise make available the Confidential Information, in whole or in part, directly or indirectly, to any third party without PCI Pal’s prior written consent; (e) not use the Confidential Information in any report, market commentary, research note, article, social-media post, or communication to any other person without PCI Pal’s prior written consent; and (d) comply at all times with PCI Pal’s Terms of Use, which apply in addition to these Confidentiality Terms.

Upon request by PCI Pal, the Recipient shall: (a) immediately stop using the Confidential Information; (b) return all physical materials (if any); and (c) permanently delete all electronic copies, notes, summaries, or materials derived from the Confidential Information.

3. No Rights or Licences Granted

All Confidential Information remains the exclusive and proprietary property of PCI Pal. No licence, title, or rights of use are granted except as expressly set out in these terms.

4. Remedies

The Recipient acknowledges that unauthorised use, copying, or disclosure of Confidential Information may cause PCI Pal irreparable harm for which monetary damages may be inadequate and PCI Pal will be entitled to seek injunctive or equitable relief in addition to any other remedies available at law.
